hisyearsreview,publishedonNovember12th,showsthatthe
Sarbanes-Oxleyact,passedin2002totrytopreventarepeatofcorporate
collapsessuchasEnronsandWorldComs,hashadanimpactonthe
boardroom--albeitatanaverageimplementationcostthatKorn/Ferry
estimatesat$5.1mperfirm.
Twoyearsago,only41%ofAmericanfirmssaidtheyregularlyheld
meetingsofdirectorswithouttheirchiefexecutivepresent;thisyear
thefigurewas93%.Butsomethingshavebeensurprisinglyunaffectedby
thebacklashagainstcorporatescandals.Forexample,despiteagrowing
feelingthatformerchiefexecutivesshouldnotsitontheircompanys
board,thepercentageofAmericanfirmswheretheydohasactuallyedged
up,from23%in2003to25%in2004.
Also,disappointinglyfewfirmshavesplitthejobsofchairmanand
chiefexecutive.AnothersurveyofAmericanboardspublishedthisweek,
byA.T.Kearney,afirmofconsultants,foundthatin200214%oftheboards
ofSP500firmshadseparatedtheroles,andafurther16%saidtheyplanned
todoso.Butby2004only23%overallhadtakentheplunge.Asurvey
earlierintheyearbyconsultantsatMcKinseyfoundthat70%ofAmerican
directorsandinvestorssupportedtheideaofsplittingthejobs,which
isstandardpracticeinEurope.
