1.Appointment。

2.DutiesandResponsibilities。

ToreviewandconsiderallmaterialsprovidedtoDirectorinconnectionwiththebusinessoftheCompanyandtomakeinformeddecisionsinthebestinterestsoftheCompany.

Tocomplywithallapplicablelaws,regulations,andCompanypolicies.
3.Compensation。
DirectorshallbecompensatedforservicesrenderedunderthisAgreementasfollows:

ReasonabletravelandotherexpensesincurredbyDirectorinconnectionwithDirectorsduties(theExpenses).
4.TermandTermination。
TheTermofthisAgreementshallcommenceonthedateofthisAgreementandshallcontinueforthespecifiedTermunlessearlierterminated.
ThisAgreementmaybeterminated:
ByCompany,withorwithoutcause,upon[numberofdays]writtennoticetoDirector.
ByDirector,upon[numberofdays]writtennoticetoCompany.
Forcause,bytheBoard,uponamajorityvoteoftheBoard,withoutnoticetoDirector.
5.Confidentiality。
