NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:
1.SaleandPurchaseofShares.
1.1SaleofShares.TheSelleragreestosell,transferanddelivertotheBuyer,andtheBuyeragreestopurchase,acquireandacceptfromtheSeller,alloftheright,,andinterestinandtotheShares,asmoreparticularlydescribedinExhibitAattachedhereto,subjecttothetermsandconditionsofthisAgreement.
1.2PurchasePrice.ThepurchasepricefortheShares(thePurchasePrice)shallbe__________(thePaymentDate).ThePaymentDateshallbethedateonwhichtheBuyertendersthePurchasePricetotheSellerinthemannersetforthinSection2.2.
2.Payment.

2.2DeliveryofFunds.TheBuyershalldeliverthePurchasePricetotheSellernolaterthanthecloseofbusinessonthePaymentDate.
3.RepresentationsandWarranties.
3.1SellersRepresentationsandWarranties.TheSellerrepresentsandwarrantstotheBuyerthat:
(a)OwnershipofShares.TheSelleristherecordowneroftheSharesandhasgoodandmarketabletotheShares,freeandclearofanyliens,encumbrances,orclaimsofanyna
