RECITALS

WHEREAS,theContractoriscapableofprovidingtheservicesand/orsuppliesdescribedinExhibitAattachedhereto(theServices);

WHEREAS,theClientdesirestoengagetheContractortoprovidetheServicestotheClient,andtheContractoriswillingtoprovidesuchServices,subjecttothetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:

SECTION1:SCOPEOFSERVICES

1.1Services.TheContractoragreestoprovidetheServicestotheClientinaccordancewiththespecificationssetforthinExhibitAattachedhereto.

1.2Performance.TheContractorshallperformtheServiceswithreasonablecare,skill,anddiligence,inconformitywiththegenerallyacceptedstandardsandpracticesintheindustry.

1.3Changes.TheClientmayrequestchangestotheServicesprovidingwrittennoticetotheContractor.TheContractorshall,withinareasonabletime,provideawrittenresponsetosuchrequest,whichmayincludemodificationstotheServices,additionalfees,orotherterms.AnyagreeduponchangesshallbeincorporatedintothisAgreementandExhibitA.

SECTION2:TERMANDTERMINATION

2.2Termination.ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin__________afterreceiptofwrittennoticethereoffromthenonbreachingp
