DesignLaborSubcontractingContract
ThisDesignLaborSubcontractingContract(hereinafterreferredtoastheContract)isenteredintoasof__________(theEffectiveDate),andbetween:
(1)__________(hereinafterreferredtoasthePrincipal);and
(2)__________(hereinafterreferredtoastheSubcontractor).
PrincipalandSubcontractorcollectivelyreferredtoastheParties.
RECITALS:
WHEREAS,thePrincipalrequirescertaindesignservices(theDesignServices)fortheprojectlocatedat__________(theProject),andhasenteredintoacontract(thePrincipalContract)with__________(theMainContractor)fortheprovisionofsuchservices;
WHEREAS,theSubcontractoriswillingtoprovidetheDesignServicestothePrincipalonthetermsandconditionssetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:
Article1:ScopeofDesignServices
1.1TheSubcontractoragreestoprovidetheDesignServicestothePrincipalinaccordancewiththespecifications,requirements,andschedulessetforthinthePrincipalContract.
1.2TheDesignServicesshallinclude,butnotbelimitedto,thefollowing:

Article2:PerformanceandDelivery
Article3:PaymentTerms
3.1InconsiderationfortheDesignServices,thePrincipalshallpaytheSubcontractorthefeesspecifiedinthePrincipalContract,orasotherwiseagreedtheParties.
3.2ThepaymentshallbemadeinaccordancewiththepaymenttermsandschedulesetforthinthePrincipalContract,orasotherwiseagreedtheParties.
3.3TheSubcontractorshallprovidethePrincipalwithitemizedinvoicesforallpaymentsdueunderthisContract.
Article4:Confidentiality
4.1ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationexchangedbetweentheminconnectionwiththeDesignServices,excepttotheextentsuchinformationisrequiredtobedisclosedapplicablelaworregulation.
4.2TheSubcontractorshallnotusetheconfidentialinformationforanypurposeotherthantheperformanceoftheDesignServicesunderthisContract.

5.1TheSubcontractorshallindemnifyandholdharmlessthePrincipalagainstanyclaims,losses,da
