鉴于甲方需要对其网络设备进行维修施工，乙方具备维修施工的能力和经验，经双方友好协商，就甲方networkequipmentmaintenanceandconstructionwork(hereinafterreferredtoastheProject)withthetermsandconditionssetforthbelow.

1.ScopeofWork

1.1The乙方shallprovidethelaborandmaterialsrequiredforthemaintenanceandconstructionofthe甲方snetworkequipmentasspecifiedintheProjectDocumentation.

1.2The乙方shallperformtheworkinaccordancewiththeapplicablelaws,regulations,standards,andspecificationssetforthintheProjectDocumentation.

2.TimeandPlaceofPerformance

2.2Theworkshallbeperformedatthelocationspecifiedthe甲方intheProjectDocumentation.

3.Payment

3.1The甲方shallpaythe乙方forthelaborandmaterialsprovidedinaccordancewiththetermsandconditionssetforthintheProjectDocumentation.

4.Default

4.1Ifthe乙方failstoperformtheworkinaccordancewiththetermsandconditionsofthisContract,the甲方shallhavetherighttoterminatethisContractandclaimdamages.

4.2Ifthe甲方failstomakethepaymentinaccordancewiththetermsandconditionsofthisContract,the乙方shallhavetherighttoterminatethisContractandclaimdamages.

5.Confidentiality

6.Indemnification

6.1The乙方shallindemnifyandholdharmlessthe甲方againstanyandallclaims,damages,liabilities,andexpenses(includingattorneysfees)arisingoutoforinconnectionwiththeperformanceofthework.

6.2The甲方shallindemnifyandholdharmlessthe乙方againstanyandallclaims,damages,liabilities,andexpenses(includingattorneysfees)arisingoutoforinconnectionwiththeuseofthelaborandmaterialsprovidedthe乙方.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheProjectDocumentation.

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinacc
