ThisSampleManufactureAgreement(hereinafterreferredtoas“thisAgreement”)isenteredintoasof (hereinafterreferredtoas“EffectiveDate”),byandbetweenXXXCompanyLtd(hereinafterreferredtoas“Consignor”)and_______________________________(hereinafterreferredtoas“Supplier”).ConsignorandSuppliershallbehereinafterrespectivelyreferredtoasthe“Party”orcollectivelyreferredtoasthe“Parties”.

TERM

1.1ThisAgreementshallbeeffectiveasoftheEffectiveDateandshallbeeffectiveforaperiodofone(1)year.Aftertheexpirationoftheinitialterm,thisAgreementshallbeautomaticallyrenewedforsuccessiveperiodsofone(1)yearunlessonePartynotifiestheotherPartyinwritingnotlessthanninety(90)dayspriortotheendoftheinitialoranyrenewalterm,thatthisAgreementshallterminateattheendofthethencurrentterm,orunlessearlierterminatedinaccordancewiththetermsandconditionsofthisAgreement.

SCOPEOFAGREEMENT

2.1ThisAgreementshallbeapplicabletoanyandallmanufacturebusinessofsamplesbetweenConsignorandSupplier.ThePartiesacknowledgethatthisAgreementwillnotconstituteacommitmentforConsignortoorderanyparticularquantityofsamplefromSupplier.

PURCHASEORDER

3.1SamplestobepurchasedbyConsignorfromSuppliershallbesubjecttoseparatepurchaseorders(hereinafterreferredtoas“PurchaseOrder”),whichwillspecifyparticulars,includingbutnotlimitedtoprice,quantity,deliverydateanddescriptionofthesamples.ConsignorhastherighttoplacePurchaseOrderswithSupplier.SuppliershallnotifyConsignorinwritingwhetherornotSupplieracceptsPurchaseOrderswithintwo(2)workingdaysfromthedateofreceiptofthePurchaseOrder.Provided,
