ShareholdersAgreement

(eachofShareholder1,Shareholder2,andShareholder3separatelyreferredtoasaShareholderandcollectivelyreferredtoastheShareholders).

Recitals:

1.TheShareholdersaretheholdersofsharesin[Company],acompanyincorporatedunderthelawsof[Country](theCompany).

2.TheShareholderswishtoregulatetheirrelationshipasshareholdersoftheCompanyandtoprovideforthemanagementoftheaffairsoftheCompany.

1.2NoShareholdershalltransfer,assign,orotherwisedisposeoftheirsharesintheCompanywithoutthepriorwrittenconsentoftheotherShareholders.

1.3IntheeventthataShareholderwishestotransfer,assign,orotherwisedisposeoftheirshares,theyshallfirstoffersuchsharestotheotherShareholdersonapro-ratabasis.
