The parties wish to exchange certain Confidential Information in connection with their evaluation and/or negotiation of a business relationship or transaction between them (“Business Purpose”), and therefore agree as follows: Confidential Information. “Confidential Information” means any non-public information, know-how, or trade secrets, in any form, disclosed by one party, its Affiliates or its licensees (the “Discloser”) to the other party or its Affiliates (the “Recipient”), designated “Confidential,” or information that a reasonable person knows or should understand to be confidential or proprietary from the nature of the information or the circumstances of the disclosure. Confidential Information does not include information that the Recipient can conclusively establish: (A) has entered the public domain without the Recipient’s breach of any obligation owed to the Discloser; (B) is rightfully received by the Recipient from a third party without any confidentiality restrictions; (C) is known to the Recipient without any restriction as to use or disclosure prior to first receipt by the Recipient from the Discloser; or (D) has been independently developed by the Recipient without using Confidential Information of the Discloser.
