毕 业 论 文 三鹿集团公司治理研究 办学单位： 班 级：工商企业管理2009级本科 学 生： 指导教师：  中 文 摘 要 公司治理是指诸多利益相关者的关系，主要包括股东、董事会、经理层的关系，这些利益关系决定企业的发展方向和业绩。公司治理讨论的基本问题，就是如何使企业的管理者在利用资本供给者提供的资产发挥资产用途的同时，承担起对资本供给者的责任。利用公司治理的结构和机制，明确不同公司利益相关者的权力、责任和影响，建立委托代理人之间激励兼容的制度安排，是提高企业战略决策能力，为投资者创造价值管理大前提。公司治理如同企业战略一样，是中国企业经营管理者普遍忽略的两个重要方面。本文分析了三鹿集团公司治理存在的问题，探讨了 Abstract Corporate governance is refers to various stakeholders, including shareholders, directors, managers, these interests decided the development direction of the enterprise and performance. Corporate governance is the basic problem, and discuss how to make use of the capital of the enterprise managers in the assets provide supplier assets USES, play to assume the responsibility of capital providers. Using the corporate governance structure and mechanism of different stakeholder power and responsibility and influence, establish incentive compatibility between the agent entrusted by the institutional arrangements, is to improve the enterprise strategic decision for investors, create value management principle. Corporate governance is the same as the enterprise strategy, China enterprise managers generally ignored two important aspects. In this paper the SanLu group company management, and probes into the problems existing in the management strategy of SanLu group company. That can solve the countermeasures from the government and enterprises can be formulated, the distribution of accounting management strategy, improve the management mechanism, build strong innovative marketing strategy, etc, to consider to effectively improve SanLu corporation management, make SanLu group company of virtuous development.
