我国商业银行公司治理现状与存在问题.doc

摘要 公司治理问题是现代企业制度中最重要的组织架构，是公司制度的核心，因而一直受到人们的广泛关注。在金融全球化和金融自由化的背景下，对金融机构尤其是商业银行公司治理模式的探讨，逐渐成为一个全球性的话题。金融机构高风险、高回报，以及其较强的外部影响，使得金融机构的公司治理存在一定的特殊性。银行业作为金融机构的主体，它的公司治理结构完善与否，较其它行业就显得更为重要。现代西方商业银行根据利益主体权利和责任的不同形成了两种比较典型的公司治理模式：以英美为代表的市场导向模式和由大股东掌握控制权的德日股东监控模式。本文分析了我国商业银行公司治理的现状及存在的问题，并在借鉴国外优秀经验的基础上，提出了进一步优化我国商业银行公司治理模式的对策和建议。 关键词：商业银行 公司治理 股权结构 激励机制 Abstract Corporate governance is the most important modern enterprise system, organizational structure, the core of the companys system, which has been widespread concern. Financial globalization and financial liberalization in the context of financial institutions, particularly commercial banks, models of corporate governance, has become a global issue.The main body of the banking industry as a financial institution, and its corporate governance structure, perfect or not, than other industries to become more important. Modern Western commercial banks in accordance with the rights and responsibilities of stakeholders to form two different typical corporate governance model: Anglo-American market, as represented by the largest shareholder-oriented model and in control of the German and Japanese shareholders monitor mode. This paper analyzes the corporate governance of commercial banks in the current situation and existing problems and experiences from abroad on the basis of excellence, the further optimization of the corporate governance of commercial banks, the countermeasures and suggestions.
