上海通用企业重组研究.doc
摘 要
随着中国经济的持续强劲增长,中国会有越来越多的企业加入到海外并购的队伍中来,这是一个不容置疑的趋势。本文通过对上汽集团收购韩国双龙汽车案例过程的分析,总结出了中国企业海外并购过程中应该吸取的经验和教训,为正在和即将要跨洋出海的中国企业提供了建议。中国企业海外并购整体上仍处于幼稚期,只有不断学习总结和借鉴国外的先进经验,不断尝试,中国企业才能在海外并购的道路上越走越顺。
本文针对当前的企业联合重组中存在的问题,提出了整合途径和重点。从企业实际出发,结合专业知识,对企业关系联合,实质不合,给出的建议.论文主要由六大部分组成,论文第一部分,概述了本文的写作背景以及研究的目的和方法。第二部分介绍了企业重组的概述。第三部分针对上海通用汽车公司收购韩国双龙汽车的案例,让读者对两个公司有一个更好的了解。第四部分提出了上海通用收购韩国双龙后整合重组存在的问题。第五部分针对提出的问题提出了解决的对策和建议。第六部分针对论文做了系统的总结,并真切的表达了对指导教师的感谢之情,并列出了参考文献供读者参考。

Abstract
Thanks to the robust and sustainable growth of China’s economy, more and more Chinese enterprises are turning their eyes to the targeted companies in overseas market for possible merger and acquisition. This has become an ignorable trend. This paper is served to analyze the detailed process of Sac’s acquisition over Korean Singsong Motor and summarize the lesions and experience acquired from the case. It also provides suggestion for Chinese enterprises that are or will be on the way to acquire businesses overseas enterprises. Only by taking this suggestion can Chinese enterprises walk in a smooth way to get businesses overseas.
